Terms of Service

1. Agreement to Terms

By accessing or using any KIPClaw service ("Service") — including KIPClaw AI agents delivered via Telegram, Discord, WhatsApp, Slack, or any other platform, the KIPClaw website, KIP Agent Club, KIP Digital Hands, or KIP Accelerator — you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

"KIPClaw," "we," "us," and "our" refer to KIPClaw and its operators. "You" and "your" refer to the individual or entity using the Service.

2. Description of Services

KIPClaw provides hosted AI agent services that operate on your behalf across messaging platforms. Our services include:

• KIP Agent Club: A personal hosted AI agent running in a dedicated, isolated security container, accessible via your preferred messaging platforms.
• KIP Digital Hands: Done-for-you AI-powered content marketing, including content calendars, copy creation, analytics, and strategy.
• KIP Accelerator: AI implementation consulting combined with emotional intelligence (EQ) coaching for team adoption.

Each agent operates within its own sealed sandbox environment. Your agent's data, conversations, and configuration are isolated from all other customers.

3. Eligibility

You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Accounts and Subscriptions

4.1 Registration

Some Services require a subscription. You agree to provide accurate information during registration and to keep it current.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, as specified at the time of purchase. Founding rates are locked for the duration of your continuous subscription. Prices for new subscribers may change with 30 days' notice.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods. Upon cancellation, your agent will be decommissioned and your data will be handled in accordance with our Privacy Policy.

4.4 Free Tier and Trials

We may offer free interactions or trial periods. These are subject to limitations and may be modified or discontinued at any time.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Generate, distribute, or store content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Attempt to manipulate, exploit, jailbreak, or abuse the AI system or its safety controls
• Generate spam, phishing content, malware, or deceptive communications
• Impersonate any person, entity, or misrepresent your affiliation
• Attempt to access another customer's agent, data, or sandbox environment
• Reverse-engineer, decompile, or extract underlying AI models or infrastructure
• Interfere with or disrupt the Service, its infrastructure, or other users' agents
• Use automated tools to excessively query the Service beyond normal usage patterns
• Use the Service for any activity that competes directly with KIPClaw

Violation of these terms may result in immediate suspension or termination of your access without refund.

6. AI-Generated Content

The Service uses artificial intelligence to generate responses, content, and recommendations. You acknowledge and agree that:

• No guarantee of accuracy: AI-generated content may contain errors, inaccuracies, hallucinations, or outdated information. You are responsible for reviewing and verifying all output before relying on it.
• Not professional advice: The Service does not provide legal, medical, financial, tax, or other professional advice. Consult a qualified professional for such matters.
• Your responsibility: You are responsible for how you use AI-generated content, including any content published or distributed on your behalf. KIPClaw is not liable for consequences arising from your use of AI-generated output.
• Content ownership: You retain ownership of the content you create using the Service. By using the Service, you grant us a limited license to process your inputs solely for the purpose of providing the Service.

7. Intellectual Property

The KIPClaw brand, website, platform, agent configurations, The KIP Method framework, and all related intellectual property are owned by KIPClaw. Nothing in these Terms grants you rights to our intellectual property except the limited right to use the Service as intended.

You retain all rights to content you create. Content generated by your KIP agent on your behalf is yours to use as you see fit, subject to the AI content disclaimers in Section 6 and any third-party platform terms.

8. Third-Party Services and Platforms

The Service integrates with third-party platforms (Telegram, Discord, WhatsApp, Slack, etc.) and AI providers (Anthropic, OpenAI, etc.). Your use of those platforms is governed by their respective terms of service and privacy policies. KIPClaw is not responsible for the actions, content, or policies of third-party services.

9. Service Availability and Modifications

We strive to maintain 24/7 availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, platform outages, or circumstances beyond our control. We reserve the right to modify, update, or discontinue features of the Service with reasonable notice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
• KIPCLAW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
• OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
• WE ARE NOT LIABLE FOR ACTIONS TAKEN BY AI AGENTS, CONTENT THEY GENERATE, OR DECISIONS MADE BASED ON THEIR OUTPUT.

11. Indemnification

You agree to indemnify, defend, and hold harmless KIPClaw, its operators, affiliates, and partners from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) content generated by your agent that you publish or distribute.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with notice. You may terminate your account at any time by canceling your subscription and contacting us. Upon termination:

• Your agent will be decommissioned
• You may request an export of your data within 30 days
• After 30 days, your data will be deleted in accordance with our Privacy Policy

13. Dispute Resolution

Any disputes arising from these Terms or the Service will first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to Terms

We may update these Terms from time to time. We will provide notice of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. The effective date is listed at the top of this page.

15. General

• Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and KIPClaw.
• No Waiver: Failure to enforce a provision does not waive our right to enforce it later.
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
